Terms & Conditions

1. Acceptance of Terms

By accessing or using the Liquid platform — whether as a merchant or a customer — you agree to be bound by these Terms & Conditions. If you do not agree, you may not use the platform. Liquid reserves the right to update these terms at any time, with notice provided through the app or Merchant Portal.

2. Overview of the Platform

Liquid is a customer loyalty and dynamic pricing platform that enables merchants to offer discounts during specified periods and allows customers to pre-load funds into a Liquid wallet for use at participating locations. Payments are processed through Stripe Connect.

3. Customer Terms

Wallet & Deposits

Customers must pre-load funds into their Liquid wallet before making purchases. Each deposit is treated as an independent transaction. Funds are spent in FIFO (first in, first out) order — your oldest deposit is drawn down first. Deposits are subject to a processing fee of $0.30 + 2.9%, which is charged to the customer at the time of deposit.

Discounts

Discounts are applied at the deposit level, not the wallet balance level. The discount earned on a deposit is locked to that specific deposit. Only one discount applies per transaction — the highest available rate wins. Liquid displays your single best available discount at all times.

Payments

To pay at a participating location, customers scan a QR code displayed by the merchant. Transactions may be subject to a maximum cap set by the individual merchant.

Wallet Funds

Liquid wallet funds may only be spent at Liquid-partnered merchant locations. Liquid is not responsible for merchant closures, changes in participation, or any inability to spend wallet funds as a result. Customers should contact Liquid support regarding any disputes about wallet balances.

Cooldown Periods

Some merchants may set a minimum time between orders (a "cooldown"). If a cooldown is active, subsequent orders within that window may be declined.

4. Merchant Terms

Eligibility

Merchants must maintain an active Stripe Connect account linked through the Merchant Portal to receive payouts. Liquid reserves the right to suspend or terminate merchant access for violations of these terms or misuse of the platform.

Discount Configuration

Merchants are solely responsible for configuring their discount settings, including off-peak hours, flash sales, and base tier thresholds. Liquid does not guarantee any specific commercial outcome resulting from discount configurations. Merchants should ensure discounts are set at rates that are sustainable for their margins.

Transaction Caps & Cooldowns

Merchants may set a maximum transaction cap to limit the amount of any single payment. Cooldown periods between orders are optional and entirely at the merchant's discretion.

Payouts

All payouts are routed through Stripe Connect. Liquid is not responsible for delays, errors, or disputes arising from Stripe's processing. Merchants agree to Stripe's terms of service in addition to these terms.

Merchant Portal

Merchants are responsible for maintaining the security of their Merchant Portal credentials. Any transactions, discount configurations, or settings changes made through a merchant's account are the merchant's responsibility.

QR Codes

The QR code generated in the Merchant Portal is unique to each merchant location. Merchants are responsible for displaying it appropriately and for any unauthorized use resulting from improper handling.

5. Prohibited Uses

Users may not:

  • Manipulate wallet balances or discount structures through fraudulent means
  • Use the platform to facilitate money laundering or any unlawful activity
  • Share Merchant Portal credentials with unauthorized parties
  • Attempt to reverse-engineer or interfere with the Liquid platform

6. Limitation of Liability

To the fullest extent permitted by law, Liquid is not liable for any indirect, incidental, consequential, or punitive damages arising from your use of the platform. Liquid's total liability to any party shall not exceed the total fees paid by that party to Liquid in the 12 months preceding the claim.

7. Governing Law

These Terms are governed by the laws of the State of Maryland, without regard to its conflict of law provisions.
